1. Agreement to Terms

By accessing or using the services provided by Greenway AI, operated by TacticalEdge AI, Inc. ("Greenway," "we," "us," or "our"), including the greenway.ai website and the Greenway adaptive prospecting platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms apply to all visitors, users, and customers who access or use our platform. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Greenway provides an AI-powered adaptive prospecting platform designed to help sales teams discover and engage greenfield accounts. Our Services include:

• Research and enrichment of prospect data using AI-driven signal detection
• Lead scoring and ranking based on 115+ buying signals and firmographic data
• Multi-channel outreach execution with personalized, AI-generated messaging
• Response management, classification, and meeting scheduling
• Adaptive learning loop that continuously improves targeting and engagement

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

3. Account Registration

To use certain features of our Services, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain the security and confidentiality of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other security breach
• Not share your account credentials with any third party

We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are inactive for an extended period.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable local, state, national, or international laws or regulations
• Send spam, unsolicited communications, or messages in violation of CAN-SPAM, GDPR, or similar legislation
• Harvest, collect, or scrape data from our platform without express written permission
• Interfere with, disrupt, or place an undue burden on our Services or infrastructure
• Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems
• Use automated means (bots, scrapers, crawlers) to access the Services without our prior written consent
• Misrepresent your identity, affiliation, or the origin of any communications sent through the platform
• Use the Services in a manner that could damage, disable, or impair the platform
• Upload or transmit viruses, malware, or other malicious code

You are responsible for ensuring that your use of prospect data and outreach features complies with all applicable laws, including but not limited to GDPR, CCPA, CAN-SPAM, CASL, and any industry-specific regulations.

5. Intellectual Property

Greenway and its licensors retain all rights, title, and interest in and to:

• The platform, software, algorithms, and underlying technology
• Our trademarks, logos, service marks, and brand elements
• Content we create and provide, including AI models, scoring methodologies, and documentation
• Aggregated and anonymized insights derived from platform usage

You retain ownership of your data and content that you upload or input into the Services. By using the Services, you grant us a limited, non-exclusive, worldwide license to use, process, and display your data solely to provide and improve the Services. This license terminates when you delete your data or close your account, except as required for backups or legal compliance.

6. Payment Terms

For paid Services:

• Fees are billed in advance on a monthly or annual basis, as specified in your subscription agreement
• All fees are non-refundable except as expressly stated in your subscription agreement or as required by applicable law
• We may change pricing with at least 30 days' prior written notice; price changes take effect at the next renewal period
• You are responsible for all applicable taxes, levies, and duties
• Late payments may result in service suspension after a 15-day grace period and written notice
• Disputed charges must be reported within 60 days of the billing date

7. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, AI Policy, and Cookie Policy, which are incorporated into these Terms by reference.

You are responsible for ensuring that your use of prospect data and outreach features complies with applicable data protection laws. You represent and warrant that you have all necessary rights and consents to use the data you provide to the Services.

8. AI-Generated Content

Our platform uses artificial intelligence to generate content including prospect research, outreach messages, and lead scores. You acknowledge that:

• AI-generated content is probabilistic and may contain inaccuracies or errors
• You are responsible for reviewing AI-generated content before use, particularly outreach messages sent on your behalf
• Lead scores and recommendations are based on statistical patterns and should inform, not replace, human judgment
• We do not guarantee specific outcomes, response rates, or conversion rates from AI-generated content

9. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data

We do not guarantee the accuracy, completeness, timeliness, or reliability of any data, lead scores, or prospect information provided through our platform. Business information changes frequently and our data may not always reflect the most current state.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENWAY AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute services
• Damages arising from unauthorized access to or alteration of your data

Our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Greenway AI, TacticalEdge AI, Inc., and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Any content or data you provide through the Services

12. Termination

Either party may terminate this agreement:

• By you: You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
• By us: We may terminate or suspend your account immediately for material violation of these Terms, or with 30 days' notice for any other reason.

Upon termination:

• Your right to use the Services ends immediately
• You may request an export of your data within 30 days of termination
• We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy
• Provisions that by their nature should survive termination will remain in effect (including Sections 5, 9, 10, 11, and 14)

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. Either party may seek injunctive or equitable relief in any court of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website with a revised "Last updated" date
• Sending an email notification to registered users for material changes

Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services and may terminate your account.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, AI Policy, and Cookie Policy, constitute the entire agreement between you and Greenway regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control.
